Terms of use

These terms are an agreement between you and Modern Macro Technologies LLC, doing business as ConstituNet. They govern your use of the ConstituNet web application, the ConstituNet add-in for Microsoft Outlook, and everything else we provide as part of the service. They also serve as the end user licence agreement for the add-in.
By creating an account, signing in, or installing the add-in, you accept these terms. If you are accepting them for a legislative office, you confirm you are authorised to bind that office.
What the service is
ConstituNet is constituent relationship management software for legislative offices. It records constituents, tracks casework, keeps an auditable history of what an office did, and files constituent email onto the right case from within Outlook.
Access is by subscription and, at present, by invitation. An account is required; the add-in does nothing on its own without one.
Accounts and access
- Accounts are issued to named individuals. Do not share credentials, and do not let someone else work under your account — the audit trail attributes their actions to you.
- Each office administers its own membership. When someone leaves, removing them from the office is what revokes their access, and doing so promptly is the office’s responsibility.
- Tell us at support@constitunet.com as soon as you suspect an account has been compromised.
Your data remains yours
An office owns the constituent records, casework, and history it enters into ConstituNet. We claim no ownership of it.
You grant us only the permission we need to run the service for you: to store, process, transmit, back up, and display that data, and to disclose it where the law compels us. Nothing here permits us to sell it, share it with advertisers, use it to train machine learning models, or build a product from it.
An office may export its data at any time, and may ask us to delete it. How we handle retention and deletion is set out in the privacy policy.
What you are responsible for
- The lawfulness of what you record. You confirm you may lawfully collect and hold the constituent information you enter, and that you will honour whatever records schedule, retention rule, or disclosure obligation applies to your office.
- Accuracy. We do not verify what is entered, and the software makes no judgement about whether a record is correct.
- Not recording what should not be recorded. Do not enter full Social Security numbers, payment card details, or any information whose handling is governed by a regime we have not agreed to in writing, such as protected health information under HIPAA.
- Access within your office. Roles and permissions are yours to assign; we enforce what you configure.
Acceptable use
You agree not to:
- use ConstituNet to harass, intimidate, or unlawfully surveil anyone, or to build a political targeting or voter-scoring database from casework
- attempt to reach another office’s data, or to defeat the separation between offices
- probe, scan, or test the security of the service without our written permission, or interfere with its operation
- reverse engineer, decompile, resell, sublicense, or provide the service to a third party as your own
- upload malware, or use the service in violation of any law that applies to your office
If you find a security vulnerability, report it to support@constitunet.com. We will not pursue a good-faith researcher who reports privately and does not access data belonging to others.
Availability
We aim to keep ConstituNet available continuously, and we will give advance notice of planned maintenance where we can. We do not commit to a specific uptime figure unless it is written into a separate agreement with your office. The service may be interrupted by faults, by maintenance, or by a provider we depend on.
ConstituNet is not an emergency service. If a constituent is in danger, contact the appropriate emergency or public safety authority — do not rely on casework software to escalate anything.
Suspension and termination
You may stop using the service at any time. We may suspend or terminate access if these terms are breached, if an account is being used in a way that endangers the service or another office’s data, or if fees agreed with your office go unpaid. Where circumstances allow, we will give notice and an opportunity to put things right first.
On termination, an office keeps its right to export its data for thirty days, after which we may delete it.
Disclaimer and limitation of liability
To the fullest extent the law permits, ConstituNet is provided as is, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error free.
To the fullest extent the law permits, Modern Macro Technologies LLC will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or business interruption. Our total liability arising out of or relating to these terms is limited to the amount your office paid us in the twelve months before the event giving rise to the claim.
Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
Indemnity
You will indemnify Modern Macro Technologies LLC against claims arising from your unlawful use of the service, from data you entered that you had no right to hold, or from your breach of these terms. This does not apply to claims caused by our own failure to meet our obligations.
Changes to these terms
We may revise these terms. When a change is material we will update the effective date above and notify offices by email before it takes effect. If a change is unacceptable to your office, the remedy is to stop using the service and ask us to delete your data.
Governing law
These terms are governed by the laws of the State of Michigan, without regard to its conflict of laws rules. The state and federal courts located in Michigan have exclusive jurisdiction, and both parties consent to venue there.
Where your office is a public body whose own law prevents it from agreeing to that, the agreement negotiated with your office prevails over this section.
The whole agreement
These terms and the privacy policy are the entire agreement between us on this subject, unless your office has signed a separate written agreement with us — in which case that agreement governs wherever the two conflict. If any part of these terms is held unenforceable, the rest continues to apply.
